Welcome to Axiira Social Media Manager Tool (“the Tool”). These Terms of Use (“Terms”) outline your rights and responsibilities when using the Tool. By registering an account or using the Tool, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree with these Terms, please do not use the Tool.

1. Eligibility

To use the Tool, you must:

• Be at least 18 years old or the age of majority in your jurisdiction

• Have the legal capacity to enter into a binding agreement

• Use the Tool for lawful business or personal purposes in accordance with these Terms

2. Account Registration

• You must provide accurate and complete information during registration.

• You agree to notify us immediately if you suspect unauthorized access to your account.

• Axiira is not liable for any loss or damage resulting from unauthorized account use caused by your failure to keep your credentials secure.

3. Permitted Use

You agree to use the Tool only for lawful purposes, including:

• Managing, scheduling, and publishing content to supported social media platforms

• Viewing analytics and engagement data from your connected accounts

• Collaborating with authorized team members as permitted by your subscription plan

You may not use the Tool to:

• Violate any applicable law, regulation, or third-party platform policy

• Post, share, or distribute content that is unlawful, defamatory, obscene, or infringes on intellectual property rights

• Upload or distribute viruses, malware, or harmful code

• Attempt to access or interfere with the Tool’s source code or infrastructure

4. Subscription and Payments

• Certain features require a paid subscription.

• By subscribing, you agree to pay all applicable fees displayed at the time of purchase.

• Fees are non-refundable except where required by applicable law.

• Subscriptions automatically renew at the end of each billing cycle unless canceled before the renewal date.

• If payment fails, access to premium features may be suspended until payment is resolved.

5. User Content

• You retain ownership of the content you create, upload, or publish through the Tool.

• By using the Tool, you grant Axiira a limited license to process, store, and display your content solely for the purpose of delivering the services.

• You are solely responsible for ensuring that your content complies with applicable laws and third-party platform policies.

6. Integration with Third-Party Platforms

• The Tool integrates with social media platforms (e.g., Facebook, Instagram, TikTok, LinkedIn).

• You are responsible for maintaining compliance with the terms and policies of these third-party platforms.

• We are not liable for issues arising from changes to third-party APIs, policies, or platform availability.

7. Intellectual Property

• All rights, title, and interest in the Tool (including its software, design, and branding) belong to Axiira Media or its licensors.

• You may not reproduce, modify, distribute, sell, lease, or reverse engineer any part of the Tool without our express written consent.

8. Prohibited Activities

You agree not to:

• Use the Tool to send spam, unsolicited messages, or engage in fraudulent activity

• Circumvent technical security measures or access the Tool by unauthorized means

• Resell or sublicense access to the Tool without permission

• Misrepresent your identity or affiliation in a way that could harm Axiira or others

9. Service Availability

• We strive to provide uninterrupted access to the Tool but do not guarantee continuous operation.

• Downtime may occur due to maintenance, updates, or factors beyond our control (e.g., server outages, third-party platform downtime).

• We are not liable for loss or damages caused by interruptions in service.

10. Disclaimers

• The Tool is provided “as is” and “as available.”

• We do not guarantee that the Tool will be error-free, secure, or free of viruses.

• We are not responsible for delays, failures, or losses resulting from third-party services or user actions.

11. Limitation of Liability

To the maximum extent permitted by law:

• Axiira Media and its affiliates are not liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Tool.

• Our total liability for any claim related to the Tool will not exceed the amount you paid for the service in the 3 months prior to the claim.

12. Termination

We reserve the right to:

• Suspend or terminate your access to the Tool at our discretion if you violate these Terms or applicable laws.

• Remove unlawful or inappropriate content without prior notice.

You may stop using the Tool at any time by closing your account.

13. Governing Law

These Terms are governed by and construed under the laws of the State of Texas, United States, without regard to conflict of law principles.
Any disputes shall be resolved in the courts of Bexar County, Texas.

14. Changes to the Terms

We may update these Terms from time to time. The updated version will be posted with a revised “Last Updated” date.
Continued use of the Tool after updates constitutes your acceptance of the revised Terms.
